1. Acceptance of Terms

Adquisition.ai ("Service") is operated by Gatewell Ltd, a Bulgarian limited liability company trading as Adquisition. By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

We reserve the right to update, change, or replace any part of these Terms at any time. It is your responsibility to check this page periodically for changes.

2. Description of Service

Adquisition.ai is an AI-powered platform that helps users create ad creatives, marketing angles, video scripts, and advertorials. The Service includes:

• AI-generated ad creatives based on your brand assets
• Marketing angle suggestions
• Video script generation
• Advertorial creation
• Multi-language support
• Brand profile management
• Ad Launcher — publish ads directly to Facebook and Instagram from your Adquisition dashboard

3. Ad Launcher and Facebook Integration

3.1 Facebook Account Connection

The Ad Launcher feature requires you to connect your Facebook (Meta) Ad Account to Adquisition via OAuth. By connecting your account, you authorize Adquisition to access your ad accounts, Facebook Pages, and related data necessary to create and manage ad campaigns on your behalf.

3.2 Your Responsibilities

When using the Ad Launcher, you are solely responsible for:

• Ensuring all ad content complies with Meta's Advertising Standards and community guidelines
• The accuracy of targeting settings, budgets, and scheduling you configure
• All ad spend incurred through campaigns launched via Adquisition — ad spend is charged directly by Meta to your connected ad account
• Maintaining valid permissions and admin access to the Facebook Ad Accounts and Pages you connect
• Reviewing and approving all ads before publishing

3.3 Disclaimers

Adquisition is not responsible for:

• Ads rejected by Meta for policy violations
• Facebook Ad Account restrictions, bans, or suspensions resulting from your ad content or practices
• Ad performance, delivery, reach, or return on ad spend
• Changes to Meta's APIs, policies, or platform availability that may affect the Ad Launcher
• Any ad spend charges billed by Meta to your connected ad account

3.4 Disconnecting Your Facebook Account

You may disconnect your Facebook account from Adquisition at any time via your dashboard settings. Disconnecting will revoke Adquisition's access to your ad accounts and pages. Campaigns already published will continue to run on Meta's platform according to Meta's terms — you can manage or stop them directly in Facebook Ads Manager.

4. Account Registration

To use the Service, you must:

• Be at least 18 years old
• Provide accurate, current, and complete information
• Maintain and update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account

5. Subscription Plans and Billing

4.1 Subscription Plans

We offer multiple subscription plans (Starter, Pro, Scale) with different features and usage limits. Plan details, pricing, and features are available on our pricing page.

4.2 Billing

• Subscriptions are billed monthly or annually as selected
• Payment is processed securely through Stripe
• All fees are non-refundable except as required by law or our refund policy
• We reserve the right to change pricing with 30 days' notice

4.3 Cancellation

You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of your current billing period. You will retain access until the end of the period you've paid for.

4.4 Refund Policy

We offer a 14-day money-back guarantee. If you're not satisfied within 14 days of your initial subscription, contact us for a full refund.

6. Usage Limits

Your subscription plan includes specific usage limits (e.g., number of ad creatives per month). These limits reset monthly. Exceeding limits may require upgrading your plan.

7. User Content and Intellectual Property

6.1 Your Content

You retain all ownership rights to content you upload (brand assets, logos, etc.) and content you generate using the Service. By using the Service, you grant us a limited license to use your content solely to provide the Service.

6.2 Generated Content

You own the ad creatives and content generated through the Service. You are responsible for ensuring generated content complies with applicable laws and platform policies before use.

6.3 Prohibited Uses

You agree not to:

• Use the Service for illegal purposes or in violation of any laws
• Upload content that infringes on others' intellectual property rights
• Upload malicious code, viruses, or harmful content
• Attempt to reverse engineer or extract our AI models
• Resell or redistribute the Service without authorization
• Use automated systems to access the Service excessively
• Impersonate others or provide false information

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or unforeseen circumstances. We are not liable for any losses resulting from Service unavailability.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Service will meet your specific requirements
• The Service will be uninterrupted, secure, or error-free
• Generated content will be accurate, effective, or compliant with all platforms
• Defects will be corrected

You are responsible for reviewing and approving all generated content before use.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Adquisition.ai and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another.

12. Termination

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms. Upon termination:

• Your right to use the Service ceases immediately
• You may request deletion of your data (subject to legal retention requirements)
• All provisions that by their nature should survive termination shall survive

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Bulgaria, without regard to its conflict of law provisions. Any disputes shall be resolved in the competent courts of Bulgaria.
